This Content Services Agreement ("Agreement") is entered into between:
Service Provider: Bobby Fredrickson, doing business as Alecrom ("Alecrom," "Service Provider")
Client: The subscribing business entity or individual ("Client")
This Agreement becomes effective when Client submits payment or electronically accepts these terms.
Alecrom provides Client with access to a social media content platform and content production services as described below. All services are delivered on a monthly subscription basis.
Client receives access to the Alecrom platform interface — a configured dashboard from which Client manages all content, approvals, scheduling, and post creation tools. Platform access is active for as long as the monthly subscription remains current.
Upon onboarding, Alecrom generates an initial batch of up to 125 educational posts built specifically for Client's practice. Each batch includes:
Client may request additional content batches at any time after the initial batch is delivered. Additional batches are available at a flat fee separate from the monthly subscription. Pricing for additional batches will be communicated at the time of request.
The following supplemental post types are included in the monthly subscription with unlimited use:
Supplemental posts are created through dedicated forms inside the platform. Each post requires Client review and approval before scheduling. Alecrom uses predefined formats for all supplemental post types.
Client may create fully custom posts using the platform's custom post creation tools. Client uploads their own image or video, writes or approves a caption, selects a platform, and sets a schedule. Custom posts route through the same approval workflow as all other post types. Nothing publishes without Client approval.
Supported formats for custom image posts: square (1080x1080) and portrait (1080x1350). Custom video posts accept client-uploaded footage with an optional client-provided thumbnail.
Approved posts are scheduled automatically and published to connected social media accounts on Client's predetermined schedule. Image posts publish to Instagram and Facebook. Video posts publish to Instagram Reels, Facebook Reels, and TikTok.
Alecrom's platform includes an automated rescheduling system. If a post's scheduled date passes without publication — due to platform issues, delayed approval, or scheduling gaps — the post is automatically moved to the next available slot in Client's posting queue. Posts that are approved out of order are automatically repositioned to maintain a clean chronological calendar. Clients are not required to manually manage scheduling conflicts.
Each active Client receives an automated monthly performance report delivered on or around the first of each calendar month. The report covers the prior month's performance and includes:
The monthly performance report is an automated data summary delivered as a service deliverable. It does not constitute analytics consulting, advisory services, or a guarantee of any specific outcome. Recommendations included in the report are directional guidance based on available data and do not represent professional marketing advice.
Each active Client receives an automated weekly trend intelligence report delivered every Monday morning. The report includes:
Content recommendations within the weekly trend report are directional guidance only. Alecrom does not guarantee that implementing any recommendation will produce specific engagement, reach, or booking outcomes. Participation in recommended content creation is voluntary.
Alecrom is a content production, scheduling, and performance reporting platform. Alecrom does not provide marketing strategy consulting, advertising management, analytics advisory services, growth consulting, SEO, paid media management, or performance guarantees of any kind. Automated reporting described in Sections 1.7 and 1.8 constitutes data delivery and directional guidance, not analytics consulting or advisory services.
Client agrees to complete all required onboarding materials accurately and in a timely manner, including any setup forms, account connection requests, and brand information submissions. Delays caused by incomplete onboarding are the responsibility of Client.
Client is not required to provide images for core educational posts, FAQ posts, or testimonial posts. Default images are provided by Alecrom for these post types.
Client is required to provide images for before and after posts and secondary educational posts where original client photography is appropriate. Client may also replace any default image with their own photo before approving any post.
Alecrom does not provide photography or videography services.
Video post scripts are provided by Alecrom as part of the educational content batch. Client is responsible for recording short-form video footage using Alecrom-provided scripts. Alecrom does not record, film, or edit video footage.
The weekly trend report provides a ready-to-record video prompt each week. Client participation in filming trend-based video content is optional and voluntary. Alecrom is not responsible for performance outcomes resulting from Client's decision to record or not record recommended content.
For custom video posts, Client provides all raw video footage. Alecrom schedules and posts the footage as uploaded. Alecrom does not edit, trim, or process Client-uploaded video beyond what is required for platform compatibility.
Client grants Alecrom limited access to their social media accounts solely for the purpose of scheduling and posting approved content. Client is responsible for maintaining active, connected accounts in good standing. Client may revoke access at any time, which will suspend posting services.
Client is solely responsible for ensuring that all content approved and published through the Alecrom platform complies with:
Alecrom does not provide legal, medical, or compliance review. Client's approval of any post constitutes Client's confirmation that the content is compliant with all applicable rules and regulations.
Alecrom is not a covered entity or business associate as defined under the Health Insurance Portability and Accountability Act (HIPAA). The Alecrom platform does not store, transmit, or process protected health information (PHI). Client is solely responsible for ensuring that no PHI — including patient names, images, identifiable health information, or any other data covered under HIPAA — is included in any content submitted to, approved through, or published via the Alecrom platform. Alecrom assumes no HIPAA compliance obligations and accepts no liability arising from Client's inclusion of PHI in platform content.
Before full content generation for the initial batch, Alecrom will deliver a Sample Content Preview for Client's review of overall structure, voice, and tone. Client may request one round of adjustments limited to voice, tone, and educational framing.
Alecrom may also provide sample content as part of pre-subscription outreach or sales materials. Sample content provided prior to subscription does not constitute a service deliverable under this Agreement and is provided for illustrative purposes only.
Upon sample approval, the full content batch is generated and loaded into Client's platform. Client reviews and approves each post individually or in bulk before any post is scheduled or published. Client may:
Once the sample is approved and full content generation begins, system-wide regeneration, bulk topic changes, or full batch rewrites are not included in the standard subscription. Requests of this nature may be accommodated at Alecrom's discretion and may incur an additional flat fee.
Client's access to the Alecrom platform and all services described in Section 1 is billed at the agreed monthly subscription rate. The current founding member rate is $500.00 USD per month. This rate is subject to change with 30 days written notice to Client.
The subscription is billed monthly beginning on the date of Client's first payment. Billing renews automatically on the same date each month unless cancelled in accordance with Section 5.
Additional content batches requested after the initial onboarding batch are billed as a separate flat fee at the time of request. The fee for additional batches will be communicated to Client prior to generation. Additional batch fees are non-refundable once content generation begins.
If a scheduled payment fails, Alecrom will notify Client and allow a 5-day grace period to update payment information. If payment is not resolved within 5 days, platform access and scheduled posting may be suspended until the balance is resolved.
Client may cancel the monthly subscription at any time. Cancellation takes effect at the end of the current billing period. Client retains full platform access and scheduled posting through the end of the paid period.
Monthly subscription fees are non-refundable once the billing period has begun. Alecrom does not offer prorated refunds for mid-cycle cancellations.
Additional content batch fees are non-refundable once content generation has begun.
Alecrom does not guarantee any specific engagement, follower growth, lead generation, revenue, or booking outcomes. All fees are for content production, scheduling, and reporting services only. No refunds are issued on the basis of performance outcomes.
Alecrom will generate approved content, prepare posts for scheduling, and schedule content across connected platforms as described in Section 1. All delivery timelines are estimates and are not guaranteed.
Alecrom is not responsible for delays caused by:
Posts that miss their scheduled date due to a platform or technical issue will be automatically rescheduled by the platform's auto-retime system to the next available slot in Client's posting queue. Client will be notified of any significant scheduling disruptions.
Upon full payment for any given billing period or content batch, Client owns the final approved posts, captions, scripts, and visual overlays created specifically for their business during that period. Monthly and weekly reports delivered under Sections 1.7 and 1.8 are also Client's property upon delivery and payment.
Alecrom retains full ownership of all of the following, regardless of payment status:
Client may not reverse-engineer, replicate, resell, sublicense, or distribute Alecrom's systems, methods, templates, or production processes.
Content produced by Alecrom is licensed for use by one practice entity across one set of connected social media accounts. Additional practice locations or entities require a separate subscription. Client may not use content produced under this Agreement to represent a different business or location without Alecrom's written consent.
All content generated by Alecrom remains the property of Alecrom until Client approves and pays for the applicable billing period. Client may view content in the platform for review purposes only and may not publish, distribute, or reuse content prior to approval and payment.
Alecrom uses third-party tools and platforms to deliver its services. Current third-party tools include but are not limited to: Metricool (scheduling and analytics), Meta platforms including Instagram and Facebook, TikTok, Make.com (workflow automation), Airtable (client platform and database), Google Drive and Google Workspace, and AI language model services including the Anthropic Claude API (content generation and report analysis).
By accepting this Agreement, Client grants Alecrom limited access to their connected social media accounts solely for the purpose of scheduling and publishing approved content. Client data processed through third-party tools is subject to the privacy policies and terms of service of those respective platforms.
Alecrom is not responsible for:
Alecrom makes no warranties, express or implied, regarding the performance of any content produced, scheduled, or reported under this Agreement. Alecrom does not guarantee any specific results including but not limited to:
Alecrom's total liability to Client under this Agreement is limited to the total amount paid by Client in the 30 days immediately preceding the event giving rise to the claim. Alecrom is not liable for indirect, incidental, consequential, or punitive damages of any kind.
Both parties agree to keep confidential any proprietary information shared in the course of this Agreement that is not publicly available.
Alecrom may reference Client's practice in general terms as a client for portfolio or case study purposes unless Client requests otherwise in writing. Alecrom will not share specific metrics, revenue figures, or identifiable patient content without Client's explicit written consent.
Client may cancel the subscription at any time in accordance with Section 5. No penalty applies for cancellation. Content generated and approved during the paid period remains Client's property upon cancellation.
Alecrom may suspend or terminate Client's access to the platform with written notice if Client:
In the event of termination by Alecrom for cause, no refund will be issued for the current billing period.
Alecrom reserves the right to modify, expand, or discontinue features of the platform at any time. New features may be added to all active subscriptions at no additional charge or introduced as optional add-ons. Clients will be notified of significant changes to the platform with reasonable advance notice.
Subscription pricing may be adjusted with a minimum of 30 days written notice to Client. Clients on a founding member rate will be notified of any pricing changes that affect their rate prior to implementation.
If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
This Agreement may only be amended in writing. Amendments become effective upon written acknowledgment by both parties or upon Client's continued use of the platform following notice of the amendment.
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas. Any disputes arising under this Agreement shall be resolved in the courts of competent jurisdiction in Texas.
